BioKey Cayman spinoff completed
ABVC Biopharma completed a partial separation of BioKey Cayman via a pro rata dividend of about 15% of its ordinary shares.
Stockholders of record on July 24, 2026 received 0.169464 BioKey Cayman share per ABVC share; the distribution took effect on Aug. 21, 2026.
Reporting status and planned quotation
BioKey Cayman became a separate Exchange Act reporting company on June 25, 2026. It plans to seek OTC Markets quotation.
Shares distributed and ownership retained
Total shares distributed: 4,500,390. ABVC retained about 85% control, leaving BioKey Cayman no longer a wholly owned subsidiary.
