AEON Biopharma priced an upsized public offering of 42,688,606 shares, each bundled with two milestone warrants to buy one share.

The offer price was set at $0.32 per share, with the two-year warrant strike price at $0.32 and the five-year warrant strike price at $0.37.

The company expects gross proceeds of about $13.75 million, with up to $29.6 million more if all milestone warrants are exercised for cash.

The milestone warrants are immediately exercisable, with expiries tied to ABP-450 regulatory or clinical milestone announcements.

Closing is expected around July 15, 2026.
