This is PAD’s first of two planned strategic acquisitions as it advances its SPAC merger with FACT II Acquisition Corp toward public listing.

Precision Aerospace & Defense Group entered a non-binding Letter of Intent to acquire a leading provider of telecommunications equipment, surveillance systems and structural steel fabrication for defense applications. This acquisition marks PAD’s first strategic purchase in 2026, complementing its platform of engineering, precision manufacturing and testing capabilities.

PAD projects the Target will contribute approximately $12.0 million in revenue and $3.8 million in EBITDA for the calendar year ending December 31, 2026. These metrics are expected to strengthen PAD’s overall financial profile and support value creation through operational synergies and expanded service offerings.

The acquisition follows PAD’s proposed business combination with FACT II Acquisition Corp, positioning the combined entity for a public listing.
