Agencia Comercial Spirits entered two nonbinding LOIs on January 15, 2026, to diversify into AI computing infrastructure. The first LOI proposes leasing approximately 300 Nvidia B300 (Blackwell) AI servers from Ricloud AI Inc., while the second secures rights to develop a 50,000-square-meter data center site in Indonesia through an affiliate.
2. Nvidia Server Lease Terms
The server lease LOI carries an estimated $120 million contract value and requires a $3.5 million deposit within five business days, refundable if no definitive agreement is reached. Ricloud is listed in Nvidia’s partner directory, though Nvidia has not confirmed supply or delivery capacity.
3. Indonesian Data Center Plan
The data center LOI includes booking payments totaling $180,000 plus 3 billion Indonesian Rupiah and 11% VAT, which are nonrefundable upon cancellation. The site selection aims to support scalable AI operations in Southeast Asia, pending infrastructure assessments and local approvals.
4. Conditions and Next Steps
Both LOIs are preliminary and contingent on due diligence, financing arrangements, regulatory approvals and finalized contracts. Investor interest has driven the stock higher, positioning the company for potential growth beyond its core whisky import and distribution operations.
