Aldel Financial II sponsor converts 6,160,713 Class B shares into Class A shares

Aldel Financial II received a sponsor notice to convert all but one Class B ordinary share into Class A shares.
The conversion takes effect Oct. 5, 2026, on a one-for-one basis; other Class B holders also plan to convert.
Converted Class A shares will not receive trust-account funds; no additional funds will be deposited for the conversion.
Post-conversion share count is expected to be 29,868,213 Class A shares outstanding, with the sponsor retaining one Class B share.
Converted Class A shares remain subject to the existing transfer restrictions that applied to the Class B shares.
