1. Disputed ownership disclosure
Letters from Primo Vital’s counsel challenged whether Jingsheng (Jason) Lu had authority over Primo, citing Ourgame’s liquidation. Prior filings reported that Primo held 11,986,523 shares, about 31.3% of common stock, with Lu sharing voting power as sole director; the disclosure was based on a joint Schedule 13D/A filed Dec. 11, 2024. The company took no position on control of the shares, citing its inability to verify who holds voting or dispositive power.
