1. Acquisition Details
On May 27, Alpha Compute completed the acquisition of a 60% controlling interest in GAMEE at an implied valuation of $18 million. The deal brings a global gaming and digital rewards platform with 120 million registered users under Alpha Compute’s new AI gaming division led by GAMEE founder Bozena Rezab.
2. GAMEE Financial Performance
GAMEE reported $3.5 million in revenue for full-year 2025 and $926,000 in Q1 2026, marking a 56% year-over-year increase. The platform logged 88.5 million game plays in the quarter and now averages 1.7 million monthly and 150,000 daily active users, with access to 61 million Telegram users.
3. Transaction Structure
Total consideration for the 60% stake is up to $11 million, including $3.5 million at closing via $1.5 million cash, $2 million in shares and warrants, and an additional $2 million in GMEE tokens. Year 1 and Year 2 earn-outs of up to $3.5 million and $4 million are contingent on EBITDA targets, while Animoca Brands agreed to a two-year standstill and transferred 878 million GMEE tokens valued at $1.83 million.
4. Strategic Integration Outlook
Alpha Compute will integrate GAMEE’s gaming distribution infrastructure with its Blackwell B200 and B300 GPU clusters to deliver AI-powered experiences via Telegram’s Cocoon confidential compute network. The company targets double-digit revenue growth, deeper AI integration in games, and expanded brand partnerships leveraging the 120 million-strong user community.
