Alpha Compute amended its term sheet for a planned Pennsylvania AI data center campus to add USD 47 million in seller financing.
Base purchase price stays at USD 55 million; cash due at closing drops to USD 8 million, with the balance funded by a seller note.
The seller note carries 6% fixed interest, monthly interest-only payments, a five-year maturity, balloon repayment, and no fees or prepayment penalties.
Collateral is limited to the acquired property and mineral interests; data center, power generation, and compute assets are excluded.
The transaction covers about 350 surface and pore-space acres, plus about 1,800 net unleased Marcellus mineral acres in Tioga County.
