AMD, Meta to Deploy 6GW AI Racks with 10% Equity Warrants

AMDAMD

AMD and Meta will deploy AMD Helios racks powered by Instinct MI450 GPUs and sixth-gen EPYC CPUs, delivering 6GW of AI compute capacity from H2 2026. Meta receives warrants for a 10% stake if it buys all chips and AMD’s share price triples, introducing potential dilution.

1. Partnership Details

On February 24, 2026, AMD and Meta agreed to co-develop and deploy AMD Helios rack clusters optimized for Meta’s workloads, leveraging joint hardware and software roadmaps through the Open Compute Project.

2. Technical Deployment

Shipments will start in the second half of 2026 and cover multiple silicon generations, delivering 6GW of power via rack clusters running Instinct MI450 GPUs, sixth-generation EPYC CPUs and ROCm software.

3. Equity Warrant Structure

As part of the agreement, AMD granted Meta warrants convertible into a 10% stake if Meta purchases all agreed chips and AMD’s share price triples, creating potential dilution scenarios.

4. Strategic Impact

The deal validates AMD’s AI computing roadmap, diversifies Meta’s cloud compute supply beyond a single vendor, and signals growing multi-vendor competition in the GenAI accelerator market.
