AMD Partners with Meta on 6GW GPU Deployment, Issues 160M-Share Warrants

AMD agreed a deal with Meta to deploy up to six gigawatts of Instinct GPUs and ship one gigawatt of MI450-based GPUs paired with 6th-gen EPYC CPUs in 2H 2026. The deal includes warrants for up to 160 million shares vesting on shipment milestones to drive AI infrastructure revenue.

1. Expanded AI Infrastructure Partnership

AMD and Meta have signed a multi-year, multi-generation agreement to deploy up to six gigawatts of AMD Instinct GPUs, strengthening their collaboration on AI hardware. This expansion aligns the companies’ roadmaps across GPU, CPU and rack-scale architectures to support Meta’s next-generation AI workloads.

2. Deployment Timeline and Technology

Shipments supporting the first gigawatt deployment will begin in the second half of 2026, using a custom AMD Instinct GPU based on the MI450 architecture and paired with 6th-gen AMD EPYC CPUs codenamed “Venice.” The infrastructure will leverage the AMD Helios rack-scale design optimized for Meta’s AI platforms.

3. Performance-Based Warrant Structure

As part of the agreement, AMD issued Meta warrants for up to 160 million common shares that vest as GPU shipment milestones are met and specified stock-price thresholds are achieved. This structure is intended to align incentives, drive AI infrastructure revenue growth and support long-term non-GAAP EPS objectives.
