Electrified Materials, a majority-owned American Resources unit, signed a binding LOI to acquire Blackion in an all-stock deal.
Blackion is valued at about $13.2 million, based on an agreed $275 million pre-money valuation for Electrified Materials.
Equity issuance is staged: 50% at closing, 25% after 12 months, and 25% after 24 months, tied to integration objectives.
Strategic rationale for the deal
The deal adds battery lifecycle management, reverse logistics, and feedstock origination to expand Electrified Materials’ critical materials platform.
The focus includes lithium-ion battery materials such as LFP, manufacturing scrap, black mass, and rare-earth magnet materials for downstream refining.
