Archimed completes take-private of Esperion in deal valued up to $1.1 billion

Esperion shares stopped trading and were delisted from Nasdaq following the closing.
The acquisition was made through ARCHIMED’s MED Platform II fund, with unitranche debt provided by Pharmakon Advisors.
Archimed closes acquisition of Esperion
ARCHIMED completed its acquisition of Esperion on July 13, 2026, valuing the deal at up to $1.1 billion on a fully diluted basis.
Esperion shareholders received $3.16 per share in cash, a 58% premium to the April 30, 2026 close.
Holders also received rights to contingent milestone payments totaling up to $100 million tied to future net sales performance.
