Ares Capital entered a seventh supplemental indenture with U.S. Bank Trust Company to issue USD 750 million of 6.250% notes due 2033.
- Proceeds are earmarked to repay borrowings under its credit facilities, with capacity to reborrow for general corporate purposes.
- The notes mature Sept. 15, 2033.
- Interest will be paid semiannually starting March 15, 2027.
- The obligations are unsecured.
- In the event of a change of control, Ares Capital must offer to repurchase the notes at 100% of principal plus accrued interest if ratings fall below investment grade.
- The transaction closed Sept. 15, 2026.
