ARKO Petroleum Corp priced 11,111,111 shares of its Class A common stock at $18.00 per share, generating gross proceeds of approximately $200 million. The underwriters have a 30-day option to purchase up to 1,666,666 additional shares at the IPO price.
2. Trading and Closing Schedule
Nasdaq has approved listing of APC’s Class A shares on the Capital Market under the symbol "APC," with trading expected to begin on February 12, 2026. The offering is expected to close on February 13, 2026, subject to customary closing conditions.
3. Post-IPO Ownership and Control
Upon completion, ARKO Corp will own 35,000,000 Class B common shares in APC, representing 75.9% of economic interests and 94.0% of combined voting power. If the underwriters’ overallotment option is exercised, ARKO’s stake will adjust to 73.3% of economic interests and 93.2% of voting power.

UBS Investment Bank, Raymond James and Stifel are serving as lead book-running managers, with Mizuho and Capital One Securities as joint book-runners for the IPO.
