Arko Q2 FY26 net income rises 22% to $12.2 million; adjusted EBITDA climbs 3.9% to $39.8 million

Arko reported Q2 net income of $12.2 million, up 22% year over year.
Adjusted EBITDA (non-GAAP) rose 3.9% to $39.8 million, while net cash from operating activities fell to $10.4 million from $23.2 million.
Discretionary cash flow increased 12% to $27.1 million; total debt, net was $184.7 million and net debt was $324.2 million at June 30.
Acquisition agreement and guidance
The company signed an agreement to acquire U.S. Petroleum Partners for about $205 million in cash plus inventory, issuing $30 million in Class A stock held in escrow.
Arko reaffirmed full-year 2026 guidance for adjusted EBITDA (non-GAAP) of about $156 million and discretionary cash flow of about $110 million.
