Array Digital Infrastructure Sells $1B Spectrum to Verizon, Declares $11 Dividend
AD•Array Digital Infrastructure closed a $1.0 billion sale of retained spectrum licenses to Verizon and completed $168 million in T-Mobile spectrum sales. The Board declared an $11.00 per share special cash dividend payable June 25, 2026, to shareholders of record on June 11, 2026.
1. Spectrum Monetization Transactions
Array completed the sale of select retained spectrum licenses to Verizon for $1.0 billion and finalised $168 million in 700MHz and 600MHz spectrum sales to T-Mobile in May. These transactions fulfil the company’s objective to opportunistically monetise remaining spectrum following the August 2025 divestiture of its T-Mobile wireless operation.
2. Special Dividend Declaration
The Board of Directors declared a special cash dividend of $11.00 per common share and Series A common share, payable on June 25, 2026, to shareholders of record as of June 11, 2026. While future dividend declarations remain at the Board’s discretion, no additional dividends are anticipated in 2026.
3. Strategic Context and Ownership
This asset monetisation and dividend distribution reflect Array’s strategy to unlock value from its spectrum holdings. Array Digital Infrastructure, approximately 82% owned by Telephone and Data Systems, continues evaluating proposals for the remaining shares but has made no decision on the outstanding acquisition offer.
