Credit agreement updated after acquisition

Ascent Industries completed its acquisition of Midwest Graphic Sales and Sigma Coatings, moving the businesses into newly formed subsidiary Ascent Chemicals - MGS.

BMO Bank and other lenders amended Ascent’s credit agreement on July 17, 2026 to add the new subsidiary as a loan party.

Core terms of the credit facility remained unchanged, with only conforming updates to schedules and exhibits.
