AstroNova announces special shareholder meeting

AstroNova will hold a virtual special shareholder meeting on [●], 2026.
Shareholders will vote on adopting the June 16, 2026 merger agreement with Orion Merger Parent and Orion MergerCo X.
The deal would cash out each outstanding AstroNova common share for USD 29 per share, excluding certain shares.
A separate advisory vote will cover merger-related compensation for named executive officers.
Investors will also vote on a proposal to adjourn the meeting, if needed, to seek additional proxies for the merger.
