Drawdowns require the lender’s written approval. The lender may apply outstanding principal and interest toward securities in a private placement at the price paid by cash investors, or elect cash repayment; if no private placement occurs before maturity, the lender may convert the balance into common shares at Nasdaq’s Minimum Price, subject to stockholder-approval limits.
