Auddia to File S-4 Filing After Integrating AI-Driven Influence Healthcare Platform

Auddia will file its Form S-4 later this week to complete its merger with Thramann Holdings, adding Influence Healthcare’s AI-driven, vertically integrated surgical VBEs to its holdings. The integration aims to automate clinical documentation, coding and logistics to lower administrative costs and empower surgeon-led specialty care.

1. S-4 Filing and Merger Process

Auddia entered into a definitive merger agreement on February 17, 2026 with Thramann Holdings, owner of LT350, Influence Healthcare and Voyex, and expects to file its Form S-4 with the SEC later this week as the next step in the merger process.

2. Influence Healthcare Integration

Influence Healthcare will become the final subsidiary under the combined entity, leveraging AI workflows to support surgeon-led Value Based Enterprises in high-spend specialties such as spine and total joints.

3. AI-Driven VBE Model

The platform automates clinical documentation, coding and billing, episode validation, care-pathway coordination, staffing and supply chain logistics to reduce administrative burden and lower total cost of care.

4. Rebranding to McCarthy Finney

Upon completion of the merger, Auddia will rename itself McCarthy Finney and trade under ticker MCFN, creating an AI holding company encompassing LT350, Influence Healthcare, Voyex and its original business.
