AudioEye amends Western Alliance Bank loan to allow up to $5 million litigation add-backs in EBITDA through 2026

The litigation-expense add-back cap drops to $3 million on a trailing 12-month basis from Jan. 1, 2027 through Dec. 31, 2027.
The stock buyback limit was reset to a $7 million aggregate cap across fiscal 2025-2027, replacing prior annual limits totaling $7 million. The annual stock buyback limit remains $2 million for fiscal 2028 and each year thereafter.
Loan modification with Western Alliance Bank
AudioEye entered a Fourth Loan Modification Agreement with Western Alliance Bank on Sept. 18, 2026, amending its March 31, 2025 loan.
The amendment allows add-backs for certain litigation expenses in Adjusted EBITDA, capped at $5 million through Dec. 31, 2026.
