Five directors — Chi Liu, Haishan Liang, Cuimei Zhang, Shenglei Zhou and Xing Fang — were re-elected to the board.
1. AGM Resolutions Adopted
At the annual general meeting held June 23 in Beijing, shareholders passed a special resolution to adopt the Eighth Amended and Restated Memorandum and Articles of Association and approved the re-election of five directors. The meeting empowered each director to take necessary actions to implement the new governance framework.
2. Governance Document Update
The special resolution replaces the entire Seventh Amended and Restated Memorandum and Articles of Association with an Eighth version. This update is designed to streamline corporate governance processes and clarify director authorities under the revised charter.
3. Board Re-Elections
Directors Chi Liu, Haishan Liang, Cuimei Zhang, Shenglei Zhou and Xing Fang were each re-elected, ensuring continuity of leadership. Each director is authorized to execute actions they deem necessary to effectuate the approved amendments.
