Axe Compute takes full ownership of Georgia AI cluster SPV from Duos Technologies
DUOT•Axe Compute took 100% ownership of the SPV holding its Columbus, Georgia, AI cluster on Sept. 30, 2026, retiring about $87.8 million in asset-backed financing without issuing new equity. The deal includes $42.9 million in deferred payments, and the customer agreement was extended to five years through 2031.
1. Ownership and financing
Axe Compute took 100% ownership of the SPV holding its AI cluster in Columbus, Georgia, closing the deal on Sept. 30, 2026. The transaction retired about $87.8 million of asset-backed financing at closing, with no new equity issued.
2. Payment and contract terms
Purchase consideration includes a $42.9 million deferred price, payable at $715,000 monthly, with any balance due within 12 months. The AI cluster customer agreement was extended to five years through 2031, with renewal options. Duos Technologies will cover colocation and energy costs during the five-year term, fixing facility and power costs for the contract life.
