1. Transfer of Listing to NYSE
Azul has arranged for its American Depositary Shares, each representing two common shares, to begin trading on the New York Stock Exchange under the ticker symbol AZUL at the open on July 9, 2026, subject to standard listing conditions.
2. Voluntary Delisting from NYSE American
The company will deliver notice to NYSE American and file Form 25 to withdraw its ADSs no earlier than July 16, 2026, with the delisting becoming effective ten calendar days after filing to ensure a seamless transfer of listing.

Following its successful restructuring, Azul expects the NYSE listing to strengthen corporate governance, simplify its capital structure, and improve visibility among global institutional investors, while its common shares will continue trading on B3 under AZUL3.
