Baldwin Group agrees to go private in USD 7.7 billion deal with Sequence Holdings, Dell family office

Sequence Holdings and Dell Family Office’s DFO Management agreed to buy a majority stake in The Baldwin Group in an all-cash deal.
Shareholders will receive USD 32.5 per share, an 88% premium to the June 17, 2026 close.
The transaction values Baldwin at about USD 7.7 billion enterprise value, including about USD 4.6 billion equity value.
Financing and closing timeline
Net debt of about USD 3.1 billion will be assumed or refinanced, and there is no financing condition attached to closing.
Closing is targeted for Q1 2027. Baldwin is expected to become privately held and delist from Nasdaq.
