Barnwell Industries entered a definitive agreement to sell its remaining Hawaii development interests and related project rights.
Expected net cash proceeds are about $1.5 million from a $1.77 million gross price, with a pre-closing distribution of about $0.1 million.
The deal is targeted to close before fiscal year-end on Sept. 30, 2026, subject to customary conditions.
The transaction sells indirect partnership interests tied to Ka'upulehu lease areas on Hawaii, including Increment 2 development rights.
Barnwell said the move supports portfolio simplification, balance-sheet strengthening, reduced future capital commitments, and capital redeployment toward higher-return opportunities.
