Beam Global will acquire Norwegian drone company ScoutDI for $24 million in cash and stock. ScoutDI sellers may receive full earn-out payments in 2026 and 2027 if revenue thresholds are met.

1. Deal terms

ScoutDI’s main shareholders, DNV, Equinor Ventures and Klaveness, will hold Beam Global stock after the deal. Sellers are eligible for full earn-out payments in 2026 and 2027 if drone revenue exceeds 150% and software revenue exceeds 160% of 2025 revenue. Beam Global plans to manufacture ScoutDI’s drone systems in its U.S. and European factories after the deal.
