Blink Charging amends Envoy note for conditional conversion into 2,166,667 CID shares
BLNK•Blink Charging amended its $12.5 million convertible promissory note so it will convert into 2,166,667 CID common shares once specified conditions are met. Those conditions include CID shareholder approval and SEC effectiveness of a registration statement for a pro rata distribution to Blink shareholders.
1. Conversion conditions
The amendment accompanied BladeRanger’s sale of Envoy to CID, which closed October 9, 2026. Conversion requires CID shareholder approval of transaction proposals and SEC effectiveness of a registration statement permitting a pro rata distribution to Blink shareholders. The shares’ lock-up expires by April 1, 2027, or six months following conversion, whichever comes first; shareholder distributions are exempt.
2. Maturity terms
The note matures July 22, 2029, and Blink may extend it by two years. If conversion conditions remain unmet at maturity, rights to elect conversion remain intact.
