BlueFuture Aquatics filed an amended 8-K to correct and update disclosures tied to its March 17, 2026 IP deal with Hydrenesis.
The filing confirms the contemplated IP transfer did not occur; Hydrenesis instead granted a perpetual, worldwide, exclusive, sublicensable aquaculture license effective June 25, 2026.
Preferred stock consideration was revised: Series P for CEO David Antelo at 10% economic ownership, Series P-2 for Hydrenesis at 15%, on a fully diluted basis.
Milestone-based preferred shares could lift combined Antelo-Hydrenesis economic ownership to 65% if targets are met.
The amendment also corrects the registrant’s legal name to BlueFuture Aquatics, reflecting a February 11, 2026 name change.
