Board Chair, Lead Director Retire After Selling 7.5M Shares; Record 1.37Moz Q4 Output

Aya Gold & Silver announced retirement of board chair Robert Taub and lead director Jürgen Hambrecht, who sold 7.5 million insider shares alongside 1.1 million management shares. The company reported record Q4 silver output of 1.37 million ounces and 5.0 million silver equivalents in full-year 2025.

1. Board Transition and Insider Sales

Aya Gold & Silver has announced that Robert Taub, Chair of the Board since 2020 and a founding director with a decade of service, and Dr. Jürgen Hambrecht, Lead Independent Director since 2019, will retire at the conclusion of their current terms and will not stand for re-election at the upcoming annual meeting. Both directors played pivotal roles in strategic leadership, governance enhancements and the company’s successful turnaround over the past five years. In conjunction with this transition, Taub and Hambrecht executed a secondary market sale of a combined 7.5 million shares but have retained substantial long-term stakes in the Corporation.

2. Executive and Management Share Dispositions

Concurrently, Aya’s executive management team sold approximately 1.1 million shares, representing roughly 12% of their collective holdings, largely shares issued upon exercise of long-term incentive plan options. Post-transaction, management retains approximately 7.7 million securities. The sales were completed in compliance with regulatory requirements and internal policies, reflecting disciplined portfolio management while underscoring continued executive confidence in Aya’s future growth trajectory.

3. Q4-2025 Operational Highlights at Zgounder

In the three-month period ended December 31, 2025, Aya’s Zgounder Mine delivered record quarterly metrics: 1.37 million ounces of silver production, a 2% increase over Q3; average ore throughput of 3,796 tonnes per day (tpd), up 14% quarter-on-quarter and 41% above nameplate capacity; and sustained silver recovery of 91.2% with mill availability at 99.0%. December alone set monthly records with 545,491 ounces produced at a mill feed grade of 147 grams per tonne and a milling rate of 4,107 tpd. Underground mining achieved 1,387 tpd at 161 g/t, while open-pit operations averaged 2,800 tpd at 115 g/t for a combined 4,187 tpd at 130 g/t.

4. Full-Year 2025 Production and Growth Outlook

For the full year 2025, Aya produced a total of 5.00 million silver equivalent ounces, comprising 4.83 million ounces from Zgounder and 172,129 ounces silver equivalent from the Boumadine tailings operation. At Boumadine, reclamation of 13,498 tonnes of historical pyrite stockpile yielded 83,480 ounces of silver and 1,245 ounces of gold. Looking ahead, the company plans to finalize board nominations ahead of the annual meeting, advance the Boumadine feasibility study and capitalize on strong production momentum to drive free cash flow generation and expand its resource base along Morocco’s Anti-Atlas Fault region.
