BTQ Technologies Secures French Approval for €18.6M QPerfect Acquisition, Adds MIMIQ and Digital Twin
BTQ•BTQ Technologies has received French FDI clearance for its €18.6M acquisition of French quantum software firm QPerfect, comprising €2.0M cash and €16.6M in shares, plus up to €5.7M earnout. The deal adds QPerfect’s MIMIQ™ emulator, digital twin and QLU control tools to BTQ’s trusted quantum infrastructure stack.
1. Acquisition Approval and Deal Terms
On July 1, 2026, BTQ received regulatory clearance from French FDI authorities for its full acquisition of QPerfect SAS, subject to commitments to maintain QPerfect’s French office, appoint a French corporate officer, continue R&D and protect intellectual property. The total purchase price comprised €18.6M at closing (including €2.0M cash and €16.6M in shares) and an earnout of up to €5.7M (with €0.44M in cash and €5.23M in shares) contingent on the achievement of specified milestones.

Founded in 2023, QPerfect brings world-class expertise in neutral atom physics and quantum software engineering, having won the i-Lab Grand Prix. Its MIMIQ™ emulator delivers stable 100+ qubit simulations, the Digital Twin system models quantum architectures before physical deployment, and the Quantum Logical Unit (QLU) control framework supports scalable, fault-tolerant quantum system development.
