CaliberCos gets Nasdaq notice after shares close below $1 for 33 straight sessions
CWD•Nasdaq minimum bid-price notice
CaliberCos received a Nasdaq notice on Aug. 21, 2026 for failing the $1 minimum bid price rule.
Shares closed below $1 for 33 straight business days, breaching Nasdaq Listing Rule 5550(a)(2).
The company was granted a 180-day compliance window through Feb. 17, 2027. To regain compliance, CaliberCos must have its shares close at or above $1 for at least 10 consecutive business days.
Potential delisting risk and company response
If CaliberCos does not cure the deficiency, Nasdaq could begin delisting procedures. A second 180-day period may be available if the company meets applicable listing criteria.
Management said it is monitoring the bid price and weighing options to regain compliance, including a potential reverse stock split.
