CCC Intelligent Solutions agrees to $6.1 billion take-private deal with GTCR, Elliott
CCCS•CCC Intelligent Solutions agreed to a $6.1 billion take-private deal with a consortium led by GTCR and including Elliott Investment Management. Shareholders will receive $7.75 per share, a 44% premium to the July 9 closing price; the deal is expected to close in the first quarter of 2027.
1. Deal terms
Shareholders of CCC Intelligent Solutions will receive $7.75 in cash for each share held. The offer represents a 44% premium to the stock’s July 9 closing price, before reports that the company was exploring a sale. The deal has no financing conditions and is expected to close in the first quarter of 2027, after which CCC will become privately held.
2. Business and context
CCC provides software to the property and casualty insurance industry, including claims management and damage estimation tools. GTCR principal Nelson Iginla said the company’s underlying performance had been extremely strong and that GTCR believes the business is made better by AI, not worse. Earlier this year, investor concerns over slowing growth, softer claims volumes and a slower-than-expected rollout of newer software products weighed on CCC’s share price. The company said the deal followed a review of strategic options.
