CDT Equity issues USD 2.13 million senior secured convertible note to J.J. Astor & Co

The note has a first-priority lien on collateral, and 80% of net ATM proceeds must be used to repay this note before the company’s existing note dated June 11, 2026.
Convertible note financing terms
CDT Equity issued a senior secured convertible promissory note to J.J. Astor & Co. with a principal amount of $2.13 million.
- Net proceeds of $1.5 million were funded to the company.
- The note matures March 1, 2027 with 24 weekly installments of $88,593.75.
- The conversion price is set at 70% of the lowest 20-day VWAP, subject to a $0.05 floor and a semi-annual reset mechanism.
