1. Board Leadership Succession

Celestica will retire Chair Michael Wilson prior to the May 19, 2026 Annual Meeting; CEO Rob Mionis, a board member since 2015, will assume the Chair role and Laurette Koellner will serve as Lead Independent Director with oversight responsibilities.

2. Appointment of David Reeder

Effective May 1, 2026, David Reeder will join the nine-member board, bringing CEO experience at Entegris and CFO roles at Chewy and GlobalFoundries, reinforcing the board’s semiconductor and financial expertise.

3. Networking-Focused Growth Strategy
