Cementos Pacasmayo says Holcim pays S/ 1.64 billion to close Aspi stake deal, taking control of company

Holcim bought 99.99% of Inversiones ASPI, indirectly taking control of Cementos Pacasmayo via ASPI’s 50.01% stake.
The deal closed on March 30, 2026, following INDECOPI clearance granted on March 19, 2026.
Transaction value was set at PEN 5.1 billion enterprise value, based on about 9.0x last-twelve-month EBITDA.
Holcim agreed a PEN 1.85 billion purchase price for ASPI shares, later adjusted to PEN 1.64 billion paid to sellers.
The SPA included a PEN 185.04 million escrow funded from the purchase price to secure sellers’ indemnification obligations.
