C.H. Robinson agrees to buy RXO for implied value of $5.8 billion
CHRW•C.H. Robinson agreed to acquire RXO in a stock-and-cash deal with an implied equity value of $5.8 billion, or $30.25 per RXO share. The companies are targeting about $300 million in net run-rate cost synergies within two years after closing, which is targeted for the first half of 2027.
1. Deal terms
The consideration is $17.25 in cash plus 0.0856 C.H. Robinson shares for each RXO share, implying $30.25 per share. RXO stockholders may elect all cash at $30.25 per share or all stock at 0.1992 C.H. Robinson shares, subject to proration. RXO holders are expected to own 11% of the combined company.
2. Synergy target
The companies are targeting roughly $300 million in net run-rate cost synergies within two years after closing through C.H. Robinson’s Lean AI model. Closing is targeted for the first half of 2027.
