C.H. Robinson to buy freight broker RXO for $5.8 billion
CHRW•C.H. Robinson said it would acquire RXO in a stock-and-cash deal valuing the company at $5.8 billion, or $30.25 per share—a 29% premium to Friday’s close. The deal is expected to close in the first half of 2027.
1. Deal terms
RXO shareholders would receive $17.25 in cash and 0.0856 C.H. Robinson shares for each RXO share. They would own 11% of the combined company after the deal closes.
2. Expected synergies
C.H. Robinson expects $300 million in net run-rate cost synergies within two years of closing and expects the deal to be accretive to adjusted earnings per share within nine months.
3. Business combination
The $25 billion combined logistics firm will fold RXO’s tech-enabled truck brokerage primarily into C.H. Robinson’s North American Surface Transportation unit, which accounts for more than two-thirds of revenue. C.H. Robinson CEO Dave Bozeman said the deal would allow the company “to create a more scaled, resilient North American third-party logistics provider.”
