C.H. Robinson to buy RXO for $5.8 billion, expanding into last-mile delivery
CHRW•C.H. Robinson said it would acquire RXO for $5.8 billion, combining the companies into a $25 billion logistics firm. The deal is expected to deliver $300 million in cost synergies within two years and lift adjusted EPS within nine months.
1. Deal terms
RXO shareholders would receive $17.25 in cash and 0.0856 C.H. Robinson shares for each RXO share, valuing RXO at $30.25 per share, a 29% premium to Friday's close. RXO shareholders would own 11% of the combined company. The deal is expected to close in the first half of 2027.
2. Expanded capabilities
C.H. Robinson said the acquisition would expand its North American truck-brokerage footprint and add RXO's last-mile delivery capabilities. RXO would be integrated into C.H. Robinson's North American Surface Transportation unit, which generates over two-thirds of its revenue. CEO Dave Bozeman said RXO has capabilities that can complement C.H. Robinson's.

RXO shares jumped 22%, while C.H. Robinson shares fell 13%. RXO reported annual losses in 2024 and 2025 but beat profit expectations in its most recent quarter, which it attributed to improved pricing.
