Voting eligibility is set at the July 14 record date; 79,443,800 ordinary shares are outstanding, with one vote per share.

Broker discretion is expected only for auditor ratification. Director elections, the authorized-share increase, and reverse splits are treated as non-routine.
Authorized-share increase and reverse split authority
A key decision item is the proposal to lift authorized share capital to 20,000,000,000 ordinary shares from 1,000,000,000, expanding issuance capacity.
The board is also seeking authority to execute reverse stock splits at 2:1 to 200:1, with a cumulative limit of 4,000:1, over three years.
