China adds latency to Marvell's optical mega-deal
LITE•Marvell agreed to buy Lumentum in an all-stock deal with an implied enterprise value of $115 billion. Beijing could demand concessions, adding regulatory risk and potentially delaying the deal.
1. Regulatory risk
Marvell is buying Lumentum to pair optical lasers with AI semiconductors. The deal shifts Marvell from what the article describes as a clean machine-learning growth story toward regulatory risk, with possible Chinese concessions creating years of pain and unpredictability.
2. Deal terms
The all-stock transaction has an implied enterprise value of $115 billion. Marvell stockholders would own about 67% of the combined company and Lumentum stockholders approximately 33%. Marvell expects the deal to close in the first half of 2028, but said it could extend as late as August 2028 if regulatory approvals have not been obtained.
