CL Workshop Group sets US$2.46 million private placement at US$0.20 per unit

CL Workshop Group entered a securities purchase agreement on July 14, 2026 for a private placement of 12,300,000 units at US$0.20 each.

Each unit includes 1 ADS, representing 8 Class A ordinary shares, with 1 warrant to buy 3 ADSs.

Gross proceeds are expected at about US$2.46 million; net proceeds are earmarked for working capital and general corporate purposes.

The warrants carry a US$0.25 exercise price, become exercisable upon SEC effectiveness of a resale registration statement, and expire one year later.

Full cash exercise of all warrants would add about US$9.23 million in gross proceeds.
