Clearway Energy to buy stake in 650-MW Missouri solar project for $230 million
CWEN•Clearway Energy entered a deal for Swan Purchaser to buy membership interests in Swan TargetCo for a base cash price of $230 million. TargetCo is expected to become the indirect owner of the 650-MW Swan Solar project under development in Missouri.
1. Deal structure
At closing, the buyer will own 100% of TargetCo’s class A units, while Clearway Renew will own 100% of the class C units.
2. Expected closing
The project is under development in Bates County, Missouri. Closing is targeted for the third quarter of 2028, subject to customary conditions and certain third-party actions.
