2. Board Appointment and Rights Plan Termination
Under the agreement, Sabre will appoint Damian McKay, CEO of Vela Software Group, to its board of directors. Concurrently, the company will terminate the shareholder rights plan announced on March 1, 2026, removing a potential barrier to further stake increases or strategic transactions.
