ContextLogic sees $95 million-$105 million free cash flow in 2027 after gChem deal

Post-transaction capital structure is expected to include about 174 million units outstanding at ContextLogic Holdings, LLC.
The financing plan includes up to $870 million of committed equity, partly offset by a proposed rights offering backstopped at $9 per unit.
The debt package, led by Blackstone Credit & Insurance, includes a $250 million term loan and a $25 million revolver.
Free cash flow outlook after gChem acquisition
ContextLogic forecast $95 million-$105 million of free cash flow for the combined business in 2027.
The outlook follows an agreement to buy specialty chemicals maker gChem at an enterprise value of $850 million, with a target to close by end-2026.
