Copley Acquisition seeks shareholder approval to extend merger deadline to 30 months after IPO
COPL•Copley Acquisition shareholders will vote on allowing up to 12 monthly extensions of its business-combination deadline, from 18 months to a maximum of 30 months after its IPO. Each extension would require a $200,000 trust deposit, sponsor request and board authorization.
1. Proposed deadline extension
Copley Acquisition shareholders will vote at an extraordinary general meeting on charter amendments allowing monthly extensions of its business-combination deadline. The proposal would permit up to 12 one-month extensions beyond the initial 18-month deadline, capped at 30 months from the IPO closing.
2. Conditions and outcome
Each extension would require a $200,000 deposit into the trust account, a sponsor request and board authorization. The charter amendments are conditional on approval of a related amendment to the investment management trust agreement. If Copley does not complete a business combination within the permitted period, public shares would be redeemed and the company liquidated.
