Corning enters equity distribution deal with Goldman Sachs for up to $2 billion ATM offering

Corning entered an equity distribution agreement with Goldman Sachs for an at-the-market common stock offering of up to $2 billion.
Sales may occur from time to time, with Corning setting price, timing and size based on market conditions and capital needs.
Proceeds are earmarked for general corporate purposes.
Goldman Sachs will earn a 1% commission on gross proceeds from shares sold under the program.
Shares will be issued under Corning’s Form S-3 shelf registration statement (File No. 333-295316) filed April 24, 2026.
