Restatement work and tax liability findings
The audit committee concluded that prior quarterly and annual financial statements should no longer be relied upon due to sales and use tax reporting. A nexus study identified unrecorded state and local sales and use tax liabilities, with related income tax exposure for prior periods. Management disclosed a material weakness in tax nexus controls, and said remediation is focused on voluntary disclosure agreements across impacted states.
