Cresco Labs shareholders will vote on Oct. 30, 2026, on a share exchange and reorganization aimed at enabling a potential senior U.S. exchange listing. The plan would create a new parent company, TopCo, and extend the multiple voting share sunset to the third anniversary of a U.S. listing.
Special resolutions at the Oct. 30, 2026, meeting cover exchanging all Cresco securities for shares in a new parent company, TopCo. TopCo would then be redomiciled from British Columbia to Delaware, with the board able to implement the changes by Dec. 31, 2027.
The proposed changes would extend the multiple voting share sunset from the first anniversary to the third anniversary of a U.S. listing. The board unanimously recommends voting in favor of each resolution; annual items include setting the number of directors at seven, electing directors and reappointing the auditor.
