Three shareholder lawsuits filed Aug. 6 and Aug. 17 allege the proxy materials were misleading, seeking to delay closing or win damages.
Crinetics issued supplemental proxy disclosures on Aug. 18 to address the complaints and shareholder demand letters.
The deal price is USD 85 per share, implying roughly USD 10 billion equity value.
